I would imagine stock manipulation is why the SEC is investigating. Certainly nothing new... when corporate higher ups are provided with stock incentives that mean millions in bonuses they certainly have some incentive to 'cook the books' to keep the appearance of profits up and the stock prices... Worldcom and Enron come to mind.
Read a few articles (Forbes, Bloomberg, etc) that said the suit was filed by the Napleton Automotive Group and basically accuses Fiat of over inflating earnings and giving incentives to dealerships to make false reports.
